These Terms of Service (the Agreement) are between you and TWCW Pty Ltd (ACN 665 682 324, ABN 49 665 682 324) (TWCW, we, our, us), trading as 1Stop. They apply to everyone who uses the 1Stop Platform, whether as a Consumer or as a Business.
The Agreement is made up of the Terms and Conditions and the Schedules (Business plans and fees, Required Business disclosures and marketplace notices, and the Cookie and Tracking Policy). They explain how the Platform works, who is responsible for what, and how payments, advertising, your data and disputes are handled. The Privacy Policy and other Platform policies also apply, as clause 1.6 describes.
How you accept. You agree to this Agreement by ticking the Acceptance Box when you register and then continuing. The box is not pre-ticked, you cannot use the Platform without ticking it, and we keep a record of your acceptance (clause 1.5). Businesses are also asked to tick a box confirming that they are authorised to accept for the Business.
Please read the Terms and Conditions and Schedules that follow before you tick the box. If you do not agree, do not tick the box and do not use the Platform.
If you are unsure of the meaning of any term in this Agreement, please contact us at team@1stopapp.com to discuss, or engage a suitably qualified third party, such as a solicitor, to confirm your understanding and explain any specific obligations you are required to follow. If you are a Business, we encourage you to take advice before accepting, because you take on significant responsibilities as the seller of your goods and services.
This summary is to help you navigate. It is not part of the legal terms. The clauses that follow apply.

1.1 Who we are. These Terms are an agreement between you and TWCW Pty Ltd ACN 665 682 324, ABN 49 665 682 324(TWCW, we, us). “1Stop” is a trading name and brand of TWCW. It is not a separate legal entity. Every right, obligation and liability of the Platform operator under these Terms belongs to TWCW alone, and cannot be asserted against or imposed on any independent Business merely because that Business uses the Platform.
1.2 What the Platform is. The Platform is an online marketplace and discovery service. It lets independently owned Businesses publish listings and advertising (including video) for a flat Subscription instead of cost-per-click bidding, and lets Consumers find, contact and buy from those Businesses. The Platform includes the 1Stop consumer app, the 1Stop business app, the website at https://www.theonenetwork.org, the administration tools we use to run them, and every feature, tool, message, listing, checkout, order-management, analytics or integration service we make available through them.
1.3 Our role: intermediary only. Please read this clause carefully. It is fundamental to how the Platform works.
1.4 Dual roles. A single account can have both Consumer and Business functions. Each role is governed by the parts of these Terms that apply to it, and a person acting as a Business must not use a Consumer role to buy from, review or rate its own listings or those of a related business.
1.5 Acceptance. You enter into these Terms when you tick the Acceptance Box on the registration or onboarding screen and continue. The box is never pre-ticked, and you cannot create an account or use the Platform until you have ticked it. By ticking it you confirm that you have read and agree to these Terms (including the Cookie and Tracking Policy in Schedule 3) and have had the opportunity to read the Privacy Policy. We record your acceptance (including your user ID, the date and time, the version of these Terms, the app version and device type) and keep that record for [six] years. We may ask you to accept again by ticking the box when these Terms change materially (clause 37). If you do not agree, do not tick the box and do not use the Platform. If you accept for a company or other organisation, you confirm you are authorised to bind it, you must also tick the authority box we show to Businesses, and "you" then includes both you and that organisation.
1.6 Documents that form part of these Terms. The following form part of these Terms where they apply to you: the Privacy Policy; the Cookie and Tracking Policy (Schedule 3); the Refund and Returns Policy; the Shipping Policy; the AMAPP (clause 22); any acceptable-use, advertising, content, API or payment rules we publish; and any terms shown at checkout, at subscription or when you opt in to a particular feature (Supplemental Terms). If there is an inconsistency, the following order applies: (1) rights that cannot lawfully be excluded, including under the ACL; (2) a written agreement signed by TWCW and you; (3) terms shown for a specific transaction at checkout or subscription; (4) Supplemental Terms for the relevant feature; (5) these Terms; (6) any other Platform policy. A policy incorporated by reference will not be used to remove or reduce a right that cannot lawfully be excluded.
1.7 Where the Platform is intended for use. The Platform is operated from Australia and is intended for Australian Consumers and Businesses supplying goods and services in Australia, unless TWCW expressly enables something else. TWCW does not promise that the Platform is appropriate, lawful or available anywhere else. If you access it from outside Australia you do so at your own risk and are responsible for complying with local laws.
1.8 How the different contracts fit together. Several separate contracts can arise from your use of the Platform:
TWCW is a party to (a) and (c) only. Each contract is governed by its own terms, and a problem under one contract does not make TWCW responsible under another.
2.1 Definitions. In these Terms:
2.2 Interpretation. In these Terms, “including” is not a word of limitation; a reference to legislation includes amendments and replacements; headings are for convenience only; and a reference to a clause or Schedule is to a clause of or Schedule to these Terms.
3.1 Minimum age. To hold a Consumer account you must be at least [16] years old. To hold a Business account you must be at least 18 and legally capable of entering into a binding contract. We may ask you to confirm your age, and we may introduce age-assurance checks at sign-up or later; you must answer truthfully. If we learn that someone below the minimum age has an account, we may close it and delete the related personal information, subject to our legal obligations. Parents and guardians are responsible for supervising any minor’s use of devices.
3.2 Who may not use the Platform. You must not use the Platform if:
3.3 Accurate information. You must provide accurate, current and complete information and keep it up to date. A Business must provide its legal and trading names, ABN or ACN, GST status, ownership and control information, contact details, address, and every licence or registration needed for its goods and services. You must use your real name (or, for a Business, its real legal and trading names) and not impersonate anyone.
3.4 One account. You may hold only one account. A single account can have both Consumer and Business functions, and a Business may keep only one Business profile for each business it operates. Accounts are personal to the registered User or Business and must not be sold, shared or transferred without our written permission.
3.5 Account security. You are responsible for your passwords, access codes, devices and API credentials and for all activity under your account unless you notify us promptly of unauthorised access. Tell us immediately at team@1stopapp.com if you suspect unauthorised access, fraud or a security issue. We may require extra authentication steps, including multi-factor authentication, at any time.
3.6 Verification is not endorsement. We may verify identity, ownership, business status, licences, payment details and compliance with the AMAPP or Applicable Law, before or after approval. Any check we make, and any “verified” label, is limited to the information we reviewed at that time. It does not mean we endorse, guarantee or insure a Business, its goods or services or its claims.
3.7 Inactive and unconfirmed accounts. We may disable an account that was never confirmed, or that has been inactive for 12 months or more and has no active Subscription or open Order, after giving at least 30 days’ notice by email or in the Platform.
3.8 Closing your account. You can close or delete your account at any time through the Platform (clause 29.16) or by emailing us. Closure does not cancel accepted Orders, refunds, fees, chargebacks or other obligations that arose before closure (clause 32.5), and it does not cancel a Subscription billed through the Apple App Store or Google Play (clause 15.6).
3.9 Business accounts and staff. A Business must make sure that each person who uses its account is authorised to do so and acts within the authority the Business has given them. The Business is responsible for the acts and omissions of its owners, directors, employees, contractors, agents and anyone else who uses its account or creates, publishes or manages its Business Content, as if they were its own.
3.10 Younger Consumers. If you are under 18 you confirm that a parent or guardian knows that you use the Platform. A person under 18 must not buy, and a Business must not sell or deliver to them, goods or services that are age-restricted by Applicable Law or by clause 17.4. We handle the personal information of younger Users as clause 29.15 describes.
4.1 You must not use the Platform, or help or encourage anyone else to use it, to:
4.2 We may remove or restrict Content, features or access, and suspend or terminate accounts, where we reasonably consider it necessary to enforce these Terms, avoid or mitigate misuse of the Platform, or avoid adverse legal or regulatory consequences (clauses 26 and 32). Lawful goods, services, advertising and discussion are not prohibited merely because they relate to a particular community or identity. We apply content rules consistently and on a content basis.
5.1 Our approach. TWCW is committed to reducing Scams on the Platform. We take reasonable steps, appropriate to the Platform, to detect, report, disrupt and prevent Scams, and to cooperate with Regulators, law-enforcement bodies, the Payment Provider and other platforms, including under any scam-prevention legislation, code or industry arrangement that applies to the Platform from time to time. Nothing in these Terms limits an obligation that TWCW owes under that legislation or code.
5.2 Verification of Businesses and advertisers. Before and after approving a Business, listing or advertisement, TWCW may require evidence of identity, ownership, bank account, business registration and licences (including, for advertisers of financial products or services, the required licence). TWCW may refuse, suspend or remove a Business, listing or advertisement that it cannot verify. Clause 3.6 (verification is not endorsement) applies.
5.3 Reporting Scams. Anyone can report a suspected Scam using the in-app report tool or by emailing team@1stopapp.com. A Business must tell TWCW within 24 hours of becoming aware of a Scam, an impersonation of the Business, a compromised account or a fraudulent payment connected with the Platform.
5.4 What we may do. Where TWCW has information suggesting that Content, an account, an Order or a payment is or may be connected with a Scam, TWCW may, without prior notice and in addition to clause 32.1:
5.5 Financial-crime compliance. You must give TWCW and the Payment Provider the information they reasonably request to comply with anti-money-laundering, counter-terrorism-financing, sanctions and tax-reporting laws (including the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (Cth)), and must not use the Platform in breach of those laws. TWCW may share information about you and your transactions with the Payment Provider, financial institutions and Regulators for those purposes, and may refuse or reverse a transaction where it reasonably believes this is required.
5.6 Protecting yourself. Be cautious of anyone who asks you to pay outside the Platform for an Order that began on the Platform, or to share a one-time code or password. TWCW will never ask you for your password or full card details.
5.7 Limits. TWCW is not a bank or financial institution and does not guarantee that a Scam will be detected or prevented. Subject to clause 33.2 and any law that applies to TWCW, TWCW is not liable for loss caused by a Scam committed by a third party.
Your rights are protected
Nothing in these Terms limits your rights under the Australian Consumer Law. The business you buy from is the seller. If something goes wrong, contact that Business first through the Platform; if it is not resolved, you can ask TWCW to review the dispute (clause 10.4) and you can always contact the ACCC, your State or Territory consumer agency, a tribunal or a court.
6.1 Listings. Listings are created and controlled by Businesses. We may format, categorise, translate, moderate, correct obvious errors in, or remove a listing, but we do not guarantee that any listing is accurate, complete, current or lawful. Before you place an Order, check the Business’s identity, the description, price, inclusions and exclusions, availability, delivery terms, cancellation terms and refund policy. If anything is unclear, ask the Business through the Platform before you buy.
6.2 Discovery, ranking and paid placement. Search and discovery results may use factors such as location, category, relevance, availability, your preferences, listing quality and Business settings. We do not guarantee any Business’s ranking or visibility. Where a placement is paid for or promoted (for example, a featured listing or homepage banner under a Business’s Subscription), we will label it as promoted or featured.
6.3 Messaging. The Platform may let you message Businesses. Messages must be lawful, respectful and accurate. Do not send passwords, payment-card details, unnecessary sensitive information or malicious links. We may retain, review, moderate and disclose messages where reasonably necessary for safety, support, fraud prevention, dispute handling, legal compliance or operating the Platform, consistently with our Privacy Policy.
6.4 Reviews and ratings. Reviews must be based on a genuine experience and be honest, fair and relevant. You must not post a fake, incentivised or manipulated review (unless any incentive is clearly disclosed), review your own business, a competitor or a transaction you did not experience, threaten anyone to obtain a benefit, publish personal or confidential information or unlawful allegations, or coordinate ratings or complaints to distort results. A Business must not offer a benefit in exchange for a particular review outcome. We may publish, refuse, edit for formatting, investigate, demote or remove reviews that breach these Terms or the law. We will not remove genuine reviews merely because they are negative. Reviews are published on the Business’s public page and can be seen by anyone who views it, so do not include personal or sensitive information in a review.
6.5 Regulated health practitioners and testimonials. Australian health-practitioner advertising law restricts the use of testimonials about the clinical aspects of regulated health services. A Business that is, or employs, a regulated health practitioner must not solicit, publish, republish, link to or otherwise use a review that refers to the clinical aspects of its services. TWCW may disable reviews on that Business's profile, or remove or hide review content that refers to clinical aspects, or require the Business to do so, to meet that law.
7.1 How an Order works. Submitting an Order is an offer to buy from the Business on the terms shown at checkout. An Order is accepted only when the Business (or the Platform on its behalf) confirms acceptance. When it is accepted, a Sale Contract is formed between you and the Business. TWCW is not a party to it.
7.2 Seller identification. At checkout and on your receipt we will show the Business as the seller, together with its trading name, ABN (where applicable) and contact details. The Business is responsible for the description, price, quality, availability, supply, delivery, warranties and ACL remedies for what it sells.
7.3 Declined or cancelled Orders. A Business may decline or cancel an Order if an item is unavailable, a price or listing error occurred, fraud is suspected, delivery is not possible or another lawful reason applies. If an Order is declined, cancelled or cannot be fulfilled, you will be refunded in accordance with clause 8.6 and the ACL.
7.4 Your responsibilities. You must provide accurate order and delivery details, pay the amounts due, and not use another person’s payment method without authority.
8.1 Prices. Businesses set their own prices. The price shown for an Order, including GST, any delivery charge and any Platform Fee payable by you, will be displayed to you as a total before you confirm payment. The checkout total is the amount payable unless an obvious error is identified before acceptance. A Business's listed price must be a single price that includes GST and covers the Business's own costs. The Platform Fee is separate and is added by TWCW at checkout. All amounts are in Australian dollars unless stated otherwise.
8.2 Platform Fee. Where a Platform Fee applies to a Consumer transaction, it will be clearly disclosed in the price and checkout summary before you pay, and charged once per completed transaction. At the date of these Terms the Platform Fee is 2.5% of the Order subtotal (the total of the Businesses' prices for the goods or services in the Order. It is added to the Order total at checkout and is paid to TWCW through the payment provider Stripe. TWCW may change a Platform Fee for future Orders by displaying the new fee before checkout. If an Order is refunded in full by the Business, we will also refund the Platform Fee for that Order. Unless required by law, the Platform Fee is not refunded where only a partial refund is given or because you changed your mind.
8.3 Payment Provider. Payments are processed by Stripe or another Payment Provider. By paying you authorise the Payment Provider and, where relevant, TWCW to charge your selected payment method for the Order total, the Platform Fee and authorised adjustments. Payment Provider terms and privacy practices also apply. Card details are entered directly into Stripe’s secure payment components and are never received or stored by TWCW.
8.4 TWCW’s limited payment collection role. Each Business appoints TWCW, acting through the Payment Provider, as its limited agent for the sole purpose of receiving payment from you for the Sale Contract. When payment is received by TWCW or the Payment Provider on the Business’s behalf, you are treated as having paid the Business. TWCW then arranges for the funds to be settled to the Business after deducting amounts due to TWCW under these Terms. This role does not make TWCW the seller and does not make TWCW responsible for the Business’s performance of the Sale Contract.
8.5 Fraud, disputes and holds. You must not make unauthorised payments, engage in payment fraud, or reverse a legitimate charge to avoid paying. If you believe a charge is wrong, contact us and the Business first. TWCW may place holds, delay settlements, reverse transactions, or restrict accounts where reasonably necessary to manage fraud, chargebacks, refunds or legal risk.
8.6 Refunds to you. Refunds are made to the original payment method. Timing depends on the Business, the Payment Provider and your bank or card issuer.
8.7 Tax invoices. The Business is responsible for issuing any tax invoice or receipt for the goods or services. TWCW will issue a tax invoice or receipt for a Platform Fee where required.
8.8 No card surcharges. A Business must not add a surcharge or any other fee for paying by card through the Platform except to the extent that Applicable Law and the rules of the relevant card scheme permit it, and must include the cost of accepting payment in its displayed price. TWCW may block, refund or reverse any surcharge that it reasonably believes is not permitted.
8.9 Other payment methods. TWCW may enable payment methods other than cards (for example digital wallets, bank debit or buy-now-pay-later services). Those methods are provided by third parties under their own terms, including any credit terms. TWCW is not a credit provider, and TWCW may withdraw a payment method at any time.
9.1 Business responsible. The Business is responsible for supplying, dispatching or performing the goods or services as described in its listing. Delivery may be made by the Business or a carrier it chooses. Any carrier is the Business’s contractor, not TWCW’s.
9.2 Estimates and risk. Estimated delivery dates are estimates, not guarantees, unless the listing clearly says otherwise. As between you and TWCW, risk in goods remains with the Business until they are delivered to you or collected by you.
9.3 Tracking and logistics tools. TWCW may provide tracking or logistics integrations as a convenience. TWCW is not the carrier and does not assume responsibility for dispatch, packaging, delivery, loss, damage, delay or failed delivery, subject to rights that cannot be excluded under the ACL.
9.4 Problems with delivery. Please report a missing, damaged or incorrect delivery to the Business promptly through the Platform. The Business must respond and provide any remedy required by law.
9.5 Services and international delivery. For services, the Business is responsible for the conduct, competence and supervision of its personnel. Customs duties, import taxes and destination restrictions apply only where a Business offers international delivery and, unless the checkout says otherwise, are your responsibility.
10.1 Australian Consumer Law. Goods and services supplied by a Business must meet the consumer guarantees in the ACL, including that goods are of acceptable quality, safe, durable, fit for any disclosed purpose, match their description and are supplied with clear title, and that services are provided with due care and skill, are fit for any disclosed purpose, and are supplied within a reasonable time. Nothing in these Terms excludes, restricts or modifies any right or remedy you have under the ACL or other law that cannot lawfully be excluded.
10.2 Who provides the remedy. The Business that supplied the goods or services is primarily responsible for any refund, replacement, repair, cancellation or compensation to which you are entitled. Depending on whether the failure is major or minor, you may be entitled to a refund, a replacement, a repair, cancellation of the service or compensation.
10.3 How to seek a remedy. Contact the Business through the Platform, describe the problem and the remedy you want, and provide reasonable evidence. If the Business has not responded or the matter is not resolved within 14 days, you may submit a dispute to TWCW through the Platform.
10.4 Platform review (convenience service). TWCW may, in its discretion, review a dispute submitted under clause 10.3, ask both sides for records and evidence, and facilitate communication. For Orders paid through the Platform, if the Business fails to respond or to provide a remedy required by law or by its own published policy, TWCW may direct that you be refunded up to the amount you paid for that Order and recover that amount from the Business under clause 16.4. This service is a convenience only. It does not make TWCW the seller or guarantor, is not a substitute for a court, tribunal or Regulator, and does not limit your legal rights.
10.5 Change of mind. The ACL does not generally require a Business to give a refund for change of mind. A Business’s change-of-mind, cancellation and return terms must be shown clearly in its listing or at checkout and must not reduce your non-excludable rights.
10.6 Abuse of refunds. You must not make false, repeated or groundless refund claims or disputes. We may restrict accounts that do.
11.1 No vetting beyond clause 3.6. Unless the Platform says otherwise in writing, TWCW does not conduct criminal-history, background, identity, licensing, insurance or premises checks on Businesses or Consumers, and does not inspect any goods, premises or services.
11.2 In-person dealings. If you meet a Business or Consumer in person, or a Business attends your home or workplace, use sensible precautions: meet in a public place where possible, tell someone where you are going, and do not hand over money or goods unless you are comfortable. In an emergency, call 000.
11.3 Not professional advice. Content on the Platform, including Business claims about health, safety, legal, financial or other matters, is not advice from TWCW. Check important claims independently and consult a qualified professional where appropriate.
11.4 Tell us about concerns. Use the in-app report tool or email team@1stopapp.com to report unsafe goods, suspected fraud, unlawful conduct or any safety concern (see also clause 26).
Read this if you are a Business
You are the seller. You, not TWCW, are responsible for what you advertise, what you deliver, and every refund, repair, replacement or other remedy a customer is entitled to. You must be accurate, deliver what you advertise, keep records, hold the right insurance, protect customer data, and stay independent as the AMAPP requires.
12.1 Who may register. The business functions of the Platform are for independently owned and operated businesses, merchants and service providers that meet our onboarding requirements and the AMAPP. You must not register if you are ineligible, misrepresent your ownership, or use another entity to get around the eligibility rules.
12.2 Warranties. You warrant, on registration and each time you publish a listing, accept an Order or renew a Subscription, that:
12.3 Keep us informed. You must tell TWCW within 7 days of any change to your ownership, control, structure, branding, franchising, funding, licences, insurance or operations that may affect your eligibility, your warranties or your AMAPP status. TWCW may request documents and information before or after approval, and you must respond within the period requested. Failure to respond, false information, hidden control or a material ownership change may lead to suspension, removal or termination.
13.1 You are the seller. You are the supplier and contracting party for every Sale Contract. You must clearly identify yourself to each Consumer as the seller, as set out in Schedule 2, including your legal or trading name, ABN/ACN where required, contact details, price, GST treatment, delivery terms, cancellation terms and refund process. You must not represent that TWCW is the seller, manufacturer, insurer, employer or guarantor of you or your goods or services, or that TWCW has inspected, endorsed, certified or insured you or your offer.
13.2 Legal compliance. You must comply with all Applicable Law affecting your business, goods, services and advertising, including the ACL, the Competition and Consumer Act 2010 (Cth), the Corporations Act 2001 (Cth) (where applicable), privacy and spam laws, taxation and GST laws, product-safety laws, licensing laws, workplace, health-and-safety and anti-discrimination laws, and ACCC guidance. If you trade with customers outside Australia you must also comply with mandatory laws of those places. Nothing in these Terms limits any Regulator’s powers.
13.3 What you advertise is what you deliver. You must supply the goods and services you advertise on the terms you display at checkout or in your listing, and honour the price, scope, quality, delivery, cancellation, refund and warranty terms agreed. You must not materially change those terms after agreement without the customer’s informed consent and any remedy required by law. If you advertise a qualification, licence, accreditation or capability, you must hold it and be able to produce evidence on request.
13.4 Fulfilment, responses and remedies. You must accept and fulfil Orders, communicate delays, and provide every refund, replacement, repair, cancellation or other remedy required by the ACL or Applicable Law. You must acknowledge Consumer enquiries and disputes within 3 business days and keep adequate systems and staff to do so. A failure to resolve a dispute within 14 days may trigger Platform escalation under clause 10.4. That escalation does not replace your legal duties.
13.5 Your policies. You must display a returns, refund and cancellation policy in each listing or at checkout that is accurate and does not reduce a Consumer’s non-excludable rights.
13.6 Taxes and records. You are responsible for your taxes (including GST), invoices, records, employees, contractors and statutory obligations. TWCW does not provide tax or accounting advice.
13.7 Records of agreed terms. Before an Order is accepted you must ensure the Consumer can review the material trading terms and correct errors. You must keep a reliable record of the accepted terms (listing or quotation, price, taxes, delivery or performance terms, cancellation terms and any customer-specific agreement), give it to the Consumer, and give it to TWCW on reasonable request for dispute or compliance purposes.
13.8 Gift cards, vouchers, deposits and recurring offers. If you offer gift cards, vouchers, deposits, lay-by, pre-orders, prepayment for services, memberships or automatically renewing arrangements through the Platform, you must comply with the ACL and other Applicable Law that applies to them (including the ACL requirements for gift-card expiry dates and fees, lay-by agreements, unsolicited consumer agreements and subscription contracts). You must state their terms clearly before the customer commits and must not rely on a term that Applicable Law makes void.
13.9 Warranties against defects
